Beskar IT Terms & Conditions

Effective Date: August 4, 2025

Welcome to Beskar IT! These Terms & Conditions ("Terms") govern your access to and use of the services provided by Beskar IT ("we," "us," or "our"), including but not limited to Cybersecurity Consulting, Vulnerability Assessment & Penetration Testing (VAPT), Secure Code Reviews, Strategic Security Advisory, Incident Response & Resilience, and Educational & Awareness Programs (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By engaging Beskar IT for Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you (the "Client") and Beskar IT.

2. Description of Services

Beskar IT provides professional cybersecurity consulting services as outlined in our service descriptions and specific proposals or statements of work ("SOW") agreed upon with the Client. Each SOW will detail the scope, deliverables, timelines, and fees for the specific Services to be rendered. In the event of any conflict between these Terms and a specific SOW, the SOW shall prevail regarding the specific services described therein.

3. Client Responsibilities

The Client agrees to:

  • Provide Necessary Access: Grant Beskar IT timely and secure access to systems, networks, applications, documentation, and personnel as required for the performance of the Services.

  • Accuracy of Information: Ensure all information, data, and access credentials provided to Beskar IT are accurate, complete, and authorized for our use.

  • Cooperation: Cooperate fully and promptly with Beskar IT during the delivery of Services. Delays caused by the Client's failure to cooperate may result in adjustments to timelines and fees.

  • Legal Compliance: Ensure that its operations and the data provided to Beskar IT comply with all applicable laws and regulations.

  • Backup Data: Maintain appropriate backups of all data and systems before any testing or review activities are performed by Beskar IT. Beskar IT is not responsible for any data loss or corruption.

  • Authorization for Testing: For VAPT and penetration testing services, the Client must provide explicit written authorization for Beskar IT to perform the agreed-upon tests on specified targets.

4. Confidentiality

Both Beskar IT and the Client agree to keep confidential all non-public information disclosed by one party to the other during the course of the Services ("Confidential Information"). This includes, but is not limited to, technical data, business plans, financial information, customer lists, and any vulnerabilities or security findings. Confidential Information will not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or to our respective legal and financial advisors under obligations of confidentiality.

5. Intellectual Property

  • Beskar IT Property: All methodologies, tools, templates, reports, and intellectual property developed or used by Beskar IT in providing the Services remain the sole property of Beskar IT.

  • Client Property: All Client data, systems, and intellectual property remain the sole property of the Client. Beskar IT will only use Client property as necessary to perform the Services.

  • Deliverables: Upon full payment, the Client will have a non-exclusive, non-transferable license to use the deliverables provided by Beskar IT for its internal business purposes.

6. Payment Terms

  • Fees: Fees for Services will be as specified in the applicable SOW.

  • Invoicing: Invoices will be issued according to the payment schedule outlined in the SOW.

  • Payment Due Date: Payments are due [Number] days from the invoice date, unless otherwise specified in the SOW.

  • Late Payments: Beskar IT reserves the right to charge interest on overdue amounts at a rate of [Percentage]% per month or the maximum rate permitted by law, whichever is lower. Services may be suspended for overdue payments.

7. Limitation of Liability

To the maximum extent permitted by law, Beskar IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

In no event shall the aggregate liability of Beskar IT exceed the total fees paid by the Client for the specific Services giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless Beskar IT, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including without limitation any intellectual property right or privacy right.

9. Termination

Either party may terminate an SOW or the provision of Services for material breach of these Terms or the SOW by the other party, provided written notice of the breach is given and the breaching party fails to cure such breach within [Number] days of receiving the notice.

Upon termination, the Client shall pay Beskar IT for all Services rendered up to the effective date of termination. Sections related to confidentiality, intellectual property, limitation of liability, indemnification, governing law, and dispute resolution shall survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of H'ble HC UP, India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute within 90 days, it shall be submitted to binding arbitration in [Lucknow, U.P./India] in accordance with the rules of  H'ble HC UP, India The decision of the arbitrator(s) shall be final and binding on both parties.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 90 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
